1. Acceptance and Scope

These Terms and Conditions ("Terms") govern your access to and use of the public website available at www.tribalfunding.org (the "Site"). The Site is owned and operated by Hozhonigo Institute ("Hozhonigo Institute," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms and acknowledge our Website Privacy Policy. If you do not agree, do not use the Site.

These Terms apply only to the public Site and its public-facing content and features. They do not govern accounts or activity within the Tribal Funding Registry database at registry.tribalfunding.org. Registry accounts, searches, Aiyana prompts, filters, bookmarks, and other Registry functions are governed by the separate Tribal Funding Registry Terms and Conditions and Tribal Funding Registry Privacy Policy made available through the Registry.

2. Informational and Educational Purpose

The Site provides information about Hozhonigo Institute, the Tribal Funding Registry, educational programs, events, resources, impact, partnerships, and funding-related topics. Site content is provided for general informational and educational purposes only.

Hozhonigo Institute is not a funder and does not award, distribute, approve, or guarantee funding. Unless expressly stated in a separate written agreement, Site content does not constitute legal, financial, tax, accounting, grant-writing, or other professional advice. You are responsible for confirming information with the original source and exercising independent judgment before acting on it.

3. Permitted Use of the Site

Subject to these Terms, Hozhonigo Institute grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable right to access and use the Site for lawful personal, educational, and internal organizational purposes.

You may:

  • share links to public Site pages;

  • quote limited excerpts with accurate attribution;

  • download resources that are expressly offered for download; and

  • use publicly available educational materials internally for noncommercial purposes, unless different terms are displayed with the material.

Any broader reproduction, republication, redistribution, modification, or commercial use requires prior written permission.

4. Prohibited Conduct

You may not, directly or through another person or system:

  • use the Site for an unlawful, fraudulent, deceptive, harmful, or unauthorized purpose;

  • misrepresent your identity, affiliation, authority, or relationship with Hozhonigo Institute;

  • interfere with the operation, security, availability, or integrity of the Site;

  • introduce malware or attempt to gain unauthorized access to systems or data;

  • bypass security controls, access restrictions, or usage limits;

  • use bots, crawlers, scraping tools, scripts, or other automated means to access, monitor, copy, extract, or download Site content without prior written permission;

  • reproduce Site content in bulk or create a substitute or competing resource from it;

  • use original Site content or materials to train, test, benchmark, or improve an artificial intelligence or machine-learning system without prior written permission;

  • reverse engineer or attempt to discover the source code or underlying structure of the Site, except where applicable law expressly permits it;

  • remove copyright, trademark, attribution, ownership, or other notices;

  • falsely imply sponsorship, endorsement, certification, partnership, or affiliation; or

  • use contact information obtained through the Site for spam, harassment, surveillance, or unauthorized marketing.

5. Submissions, Testimonials, and Feedback

If you submit an inquiry, registration, survey response, testimonial, event request, or other content through the Site, you represent that the information is accurate, that you have the right to submit it, and that doing so does not violate law, confidentiality obligations, intellectual property rights, or another person's rights.

You retain any rights you hold in submitted content. You grant Hozhonigo Institute a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, and use the content as reasonably necessary to respond to you, administer the requested activity, operate and improve the Site, and fulfill the purpose for which you submitted it.

We will not publicly use your name, likeness, organization, quotation, or testimonial for promotional purposes without permission. If you authorize public use, that permission continues for the scope and period described in the authorization or until withdrawn where withdrawal is reasonably practicable and legally available.

If you voluntarily provide ideas or recommendations about the Site or our programs, we may use that feedback without restriction or compensation, provided we do not publicly identify you or your organization without permission.

6. Intellectual Property

The Site, including its design, branding, text, original graphics, logos, photographs, videos, reports, educational materials, and other original content, is owned by Hozhonigo Institute or its licensors and is protected by applicable intellectual property laws.

Some images, documents, funder names, trademarks, videos, and other materials belong to third parties. Their appearance on the Site does not transfer ownership or grant you a license beyond any rights expressly provided by the owner or applicable law.

"Tribal Funding Registry," associated logos, and Hozhonigo Institute names and marks may not be used in a manner that suggests sponsorship, endorsement, or affiliation without prior written permission.

7. Events, Resources, and Educational Support

We may offer webinars, office hours, trainings, downloads, presentations, or other educational resources through or in connection with the Site. We may change schedules, presenters, formats, capacity limits, or content when reasonably necessary.

Registration does not guarantee admission when an event has eligibility requirements or limited capacity. Separate terms, releases, or notices may apply to a particular event or program and will control if they conflict with these general Terms.

General guidance provided through the Site, an event, office hours, or a downloadable resource is educational and does not create a professional-client, attorney-client, fiduciary, or advisory relationship.

8. Independent Professionals and Referrals

We may identify or refer visitors to independent consultants, grant professionals, or subject-matter experts. Unless expressly stated otherwise, those professionals are not employees, agents, partners, or representatives of Hozhonigo Institute.

You are responsible for evaluating any professional and entering into a separate agreement. We are not responsible for the professional's advice, conduct, availability, fees, work product, or results. Inclusion of a person or organization on the Site does not constitute certification or a guarantee.

9. Communications

If you register for an event, request support, download a resource, or contact us, we may send messages reasonably necessary to respond to or administer that request.

We will send newsletters, fundraising appeals, program announcements, surveys, or other promotional communications only as permitted by law and consistent with the choices presented to you. You may opt out of promotional email by using the unsubscribe link or contacting community@tribalfunding.org. Opting out of promotional messages does not prevent communications necessary to complete a request or administer an activity for which you registered.

10. Third-Party Links, Embedded Content, and the Registry

The Site may link to or embed content from the Tribal Funding Registry, funders, government agencies, application portals, social-media platforms, email providers, video services, scheduling tools, event services, consultants, and other third parties.

We do not control and are not responsible for third-party availability, content, security, accessibility, terms, privacy practices, application systems, services, or decisions. Links and embedded content are provided for convenience and information and do not necessarily constitute endorsement or partnership.

Selecting "Create Account," "Sign In," or another Registry link takes you to a separately governed service. Your use of registry.tribalfunding.org is subject to the Tribal Funding Registry Terms and Conditions and Privacy Policy.

11. Privacy

The Website Privacy Policy describes how Hozhonigo Institute collects, uses, discloses, retains, and protects information associated with your use of the Site. It is incorporated into these Terms by reference.

Information associated with Registry accounts and activity is governed by the separate Tribal Funding Registry Privacy Policy.

12. Accessibility

We are committed to improving the accessibility and usability of the Site and seek to support recognized accessibility standards. Because technologies and user needs vary, we cannot guarantee that every page, document, embedded feature, or linked third-party resource will be fully accessible at all times.

If you encounter an accessibility barrier, contact community@tribalfunding.org. We will make reasonable efforts to provide support or information through an alternative method when practicable.

13. Site Availability and Changes

We work to maintain the Site but do not guarantee uninterrupted, continuous, secure, or error-free availability. Maintenance, security incidents, technical failures, third-party interruptions, or other circumstances may affect access.

We may add, modify, remove, suspend, or discontinue Site content or features at any time. We are not obligated to preserve a particular page, link, resource, event listing, or version of content indefinitely.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, DOWNLOADS, LINKS, AND RELATED FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, SECURITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • SITE CONTENT WILL BE COMPLETE, CURRENT, ACCURATE, OR APPROPRIATE FOR YOUR CIRCUMSTANCES;

  • A RESOURCE, EVENT, OPPORTUNITY, PROFESSIONAL, OR EXTERNAL SERVICE WILL REMAIN AVAILABLE;

  • USE OF THE SITE WILL RESULT IN FUNDING OR ANOTHER BENEFIT; OR

  • THE SITE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties, so portions of this section may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOZHONIGO INSTITUTE AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, VOLUNTEERS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST OPPORTUNITIES, LOST REVENUE, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF HOZHONIGO INSTITUTE AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED $100.

These limitations do not apply to liability that cannot legally be limited or excluded.

16. Indemnification

To the extent permitted by applicable law, and without requiring or implying a waiver of Tribal sovereign immunity, you agree to indemnify, defend, and hold harmless Hozhonigo Institute and its directors, officers, employees, contractors, volunteers, agents, and affiliates from third-party claims, damages, judgments, losses, liabilities, costs, and reasonable attorneys' fees arising from:

  • your unlawful or unauthorized use of the Site;

  • your material violation of these Terms;

  • content you submit through the Site;

  • your infringement or violation of another person's rights; or

  • your fraud, willful misconduct, or material misrepresentation.

This section does not require indemnification to the extent a claim results from Hozhonigo Institute's own gross negligence, willful misconduct, or violation of law.

17. Governing Law, Disputes, and Tribal Sovereign Immunity

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles, except to the extent another law must apply.

Before filing a legal action, you and Hozhonigo Institute agree to provide written notice describing the dispute and to attempt in good faith to resolve it informally for at least 30 days. Notices to Hozhonigo Institute must be sent to info@hozhonigoinstitute.org with the subject line "Notice of Dispute." This requirement does not prevent either party from seeking emergency or injunctive relief when necessary to prevent immediate harm.

If a dispute is not resolved informally, the parties may mutually agree to nonbinding mediation under the applicable mediation procedures of the American Arbitration Association or another mutually selected provider. Unless prohibited by applicable law, any court proceeding between a non-Tribal user and Hozhonigo Institute must be brought in a state or federal court with jurisdiction in Clark County, Nevada, and each party consents to that court's personal jurisdiction and venue.

Nothing in these Terms:

  • waives, limits, or diminishes the sovereign immunity, jurisdiction, rights, defenses, privileges, or immunities of any federally or state-recognized Tribe, Tribal Nation, Tribal entity, or Tribal instrumentality;

  • creates consent by a Tribe or Tribal entity to suit, jurisdiction, venue, mediation, or another dispute-resolution process; or

  • alters the authority of a Tribe or Tribal entity to determine whether and how it may enter an agreement or waive immunity.

Any waiver of Tribal sovereign immunity must be express, specific, in writing, and authorized in accordance with the applicable Tribe's law. If the Site is used on behalf of a Tribe or Tribal entity, the forum-selection and dispute-resolution provisions above apply only to the extent expressly and validly accepted by that Tribe or Tribal entity.

18. Changes to These Terms

We may update these Terms to reflect changes to the Site, our practices, or applicable requirements. We will post revised Terms and update the "Last Updated" date.

If a change is material, we may provide additional notice through the Site, by email, or by another appropriate method. Unless a different effective date is stated, revised Terms become effective when posted. Continued use of the Site after revised Terms take effect constitutes acceptance of the revised Terms.

19. General Terms

  • Severability: If a provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

  • No waiver: A failure to enforce a provision is not a waiver of that provision or any other right.

  • Assignment: You may not assign or transfer these Terms without our written consent. We may assign them in connection with a reorganization, transfer of the Site, or similar transaction, subject to applicable law.

  • No agency: These Terms do not create an employment, agency, partnership, joint venture, fiduciary, or franchise relationship.

  • Headings: Section headings are for convenience and do not affect interpretation.

  • Entire agreement: These Terms and the Website Privacy Policy constitute the entire agreement between you and Hozhonigo Institute concerning the Site, except for any separate written agreement that expressly governs a particular event, program, or service.
